Terms of Service

Please read these Terms of Service ("Terms") carefully before using Motiveaction. By downloading, installing, or using the Motiveaction application or website (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Parties
"Motiveaction", "we", "us", and "our" refers to Softs AV, the entity operating the Motiveaction Service. "You" and "your" refers to the individual accessing or using the Service.
2. Eligibility
You must be at least 13 years old (or 16 if you are in the European Economic Area or United Kingdom) to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
3. Accounts
Some features (cross-device sync, Premium subscription) require you to create an account using a valid email address and password.
- You are responsible for maintaining the confidentiality of your password and for all activity under your account.
- You must provide accurate and complete registration information and keep it up to date.
- You may not share your account credentials with others or create accounts on behalf of someone else without their permission.
- Notify us immediately at [email protected] if you suspect unauthorised access to your account.
- The core functionality of Motiveaction (local roadmaps) is available without an account and without providing any personal data.
4. Subscription and Payment
4.1 Free tier
Motiveaction is free to download and use with the following limitations: roadmap steps may only be added manually, and notifications are limited to a maximum of 2 per day.
4.2 Premium subscription
Premium is available for $2.00 USD per month (or local currency equivalent) and unlocks: fully configurable notifications (number, time, and frequency), AI-assisted roadmap step generation, and all future premium features.
4.3 Billing and renewal
- Your subscription renews automatically each month unless you cancel before the renewal date.
- You authorise us (via our payment processor) to charge your chosen payment method on each renewal date.
- We will send you a receipt by email after each successful charge.
- Prices may change with 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new price.
4.4 Cancellation
You may cancel your Premium subscription at any time from within the app (Settings → Subscription → Cancel). Cancellation takes effect at the end of the current billing period; you retain Premium access until then. We do not offer prorated refunds for partial months, except as required by law.
4.5 Refunds
All charges are non-refundable except:
- Where required by applicable law (e.g., the EU Consumer Rights Directive 14-day cooling-off period for digital services where applicable).
- Where we have materially failed to deliver the Premium features you paid for.
Refund requests must be submitted within 30 days of the charge to [email protected].
4.6 EU / EEA right of withdrawal
If you are a consumer in the EU or EEA, you have a 14-day right of withdrawal from the date you subscribe. By requesting that the Service be activated immediately, you acknowledge that you lose this right once the digital content has been delivered. This does not affect other statutory rights you may have.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service or to other users' accounts or data.
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service, except to the extent permitted by applicable law.
- Circumvent, disable, or interfere with security features of the Service, including subscription enforcement mechanisms.
- Use automated means (bots, scrapers, scripts) to access or interact with the Service in a way that burdens our infrastructure.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Transmit viruses, malware, or other harmful code.
- Use the Service to harass, abuse, or harm another person.
6. Intellectual Property
6.1 Our content
The Service, including its code, design, graphics, trademarks, and all content created by us, is owned by or licensed to Motiveaction and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
6.2 Your content
You retain full ownership of the learning content you create within the Service (topics, roadmap items, notes, and other user-generated content). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, display, and process your content solely to provide and improve the Service for you. We will never use your content to train AI models or share it with third parties without your consent.
6.3 Feedback
If you submit feedback, bug reports, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate that feedback into the Service without any obligation to you.
7. Third-Party Services
The Service integrates with third-party providers including Supabase (database and authentication) and a payment processor. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the practices or content of third-party services.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
We do not warrant that:
- The Service will meet your specific requirements.
- Notifications will always be delivered on time or at all (delivery depends on your device, OS settings, and network).
- AI-generated roadmap content (Premium feature) will be accurate, complete, or suitable for your purposes.
EU/EEA consumers: Nothing in this section affects your statutory rights under applicable consumer protection laws, which cannot be excluded by contract.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOTIVEACTION AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $10 USD.
EU/EEA consumers: The above limitations do not apply to liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Motiveaction and its operators from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service in violation of these Terms or applicable law.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. You may stop using the Service and delete your account at any time.
Upon termination:
- Your right to use the Service ceases immediately.
- Your data will be deleted in accordance with our Privacy Policy.
- Provisions that by their nature should survive termination (including sections 6, 8, 9, 10, 12, 13) will survive.
12. Governing Law and Dispute Resolution
12.1 General
These Terms are governed by the laws of the jurisdiction in which the operator is resident, without regard to its conflict-of-law provisions.
12.2 EU / EEA consumers
If you are a consumer habitually resident in the EU or EEA, you benefit from any mandatory provisions of the law of your country of residence and may bring claims before the courts of your country. The European Commission provides an online dispute resolution (ODR) platform at ec.europa.eu/consumers/odr. Our email for ODR purposes is [email protected].
12.3 US consumers
For users in the United States, any dispute arising from these Terms or the Service that cannot be resolved informally will be resolved through binding arbitration administered under the applicable rules of the American Arbitration Association (AAA), except that either party may bring claims in small claims court. Class action waiver: you waive any right to participate in a class action or class-wide arbitration. This arbitration agreement does not apply to residents of states where such agreements are not enforceable.
13. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Motiveaction regarding the Service and supersede any prior agreements.
- Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, or government actions.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email (if you have an account) or via a notice in the app at least 30 days before they take effect. If you do not agree to the revised Terms, you must stop using the Service before the effective date. Continued use after that date constitutes acceptance of the updated Terms.
